Terms governing access to and use of URDigital Tech websites, forms, tools, and digital resources.
These Terms of Service (“Terms”) govern access to and use of the websites, forms, scheduling tools, demonstrations, content, digital resources, and other online services operated by URDigital Tech, LLC, doing business as URDigital Tech (“URDigital Tech,” “we,” “us,” or “our”).
These Terms also establish certain general conditions applicable to interactions with URDigital Tech.
Please read these Terms carefully. By accessing or using our website, submitting information through our website, or otherwise using an online resource governed by these Terms, you acknowledge that you have read and agree to these Terms.

2. WEBSITE TERMS VS. CLIENT SERVICE AGREEMENTS
These Terms primarily govern:
- Website access;
- Website content;
- Website forms;
- General inquiries;
- Scheduling;
- Demonstrations;
- General online communications.
Paid client services may be governed by separate written documentation, including:
- Proposals;
- Statements of Work;
- Master Service Agreements;
- Engagement letters;
- Order forms;
- Product addenda;
- Change Orders;
- Data Processing Addenda;
- Payment schedules;
- Other signed agreements.
If a signed client agreement conflicts with these Terms regarding a paid service, the signed client agreement controls for that service.
No verbal statement modifies a signed written agreement unless the modification is documented and accepted in accordance with that agreement.
If a service, deliverable, obligation, price, deadline, or promise is not included in the applicable written agreement, it should not be assumed to be included.
3. NO SERVICE ENGAGEMENT FROM WEBSITE USE ALONE
Visiting the website, submitting an inquiry, requesting a proposal, scheduling a consultation, communicating with an AI assistant, or participating in a preliminary conversation does not by itself obligate URDigital Tech to provide services.
A paid client or professional engagement begins only when applicable:
- Written agreements have been accepted;
- Required approvals have been completed;
- Required payments have been received;
- Applicable onboarding requirements have been satisfied.
URDigital Tech may accept or decline prospective engagements subject to applicable law.
4. SERVICES
URDigital Tech may provide technology, marketing, administrative, consulting, automation, and related business services.
Depending on the engagement, services may include:
- Website development;
- Website design;
- UI/UX services;
- Digital marketing;
- Social-media marketing;
- Search-engine optimization;
- Marketing automation;
- Shopify or e-commerce support;
- CRM implementation;
- Project management;
- Business automation;
- AI-powered receptionist services;
- AI chat and communications systems;
- Lead capture and routing;
- Telephone or SMS automation;
- Administrative support;
- Accounting or tax-related services where properly offered;
- Document-preparation or related administrative services where lawfully offered;
- Other services described in a written agreement.
The exact services included in a particular client engagement are determined by the applicable written Scope of Work, proposal, order form, or agreement.
5. SCOPE OF WORK
Only services and deliverables specifically included in an accepted written Scope of Work or agreement are included in a paid engagement.
Requests outside the agreed scope may require:
- A written Change Order;
- An amended Scope of Work;
- A new proposal;
- A new estimate;
- Additional fees;
- Additional time.
URDigital Tech is not obligated to perform out-of-scope work without appropriate written authorization.
A client's request, text message, email, conversation, meeting, or verbal instruction does not automatically modify an existing Scope of Work.
6. CHANGE ORDERS
If a client requests work outside the approved Scope of Work, URDigital Tech may prepare a written Change Order or new proposal.
A Change Order may affect:
- Price;
- Schedule;
- Deliverables;
- Labor requirements;
- Third-party expenses;
- Completion dates;
- Project dependencies.
URDigital Tech is not required to begin additional work until the applicable Change Order or new proposal has been approved in writing and any required payment has been made.
7. PROFESSIONAL-SERVICES DISCLAIMER
Information provided through the URDigital Tech website is general information and is not a substitute for individualized advice from a qualified professional.
Unless expressly established through a separate written professional engagement, use of the website does not create:
- An attorney-client relationship;
- An accountant-client relationship;
- A tax professional-client relationship;
- A fiduciary relationship;
- Another licensed professional relationship.
Users should consult appropriately qualified professionals regarding matters requiring individualized legal, tax, accounting, financial, medical, or other regulated advice.
8. LEGAL DOCUMENT AND DOCUMENT-PREPARATION SERVICES

URDigital Tech may refuse, limit, pause, or terminate a request that it reasonably determines could constitute unauthorized legal practice or otherwise create unacceptable legal, regulatory, or professional risk.
9. TAX AND ACCOUNTING SERVICES
Tax preparation, accounting, bookkeeping, and related professional services may require a separate written engagement.
Such services will be provided only to the extent lawfully permitted and subject to applicable registration, professional, security, confidentiality, and recordkeeping requirements.
Clients are responsible for supplying accurate, truthful, complete, and timely information.
Unless expressly provided in a signed agreement and permitted by law, URDigital Tech does not guarantee:
- A tax refund;
- A particular deduction;
- A particular tax position;
- A specific tax liability;
- Acceptance of a tax filing;
- A particular government determination;
- A specific financial outcome.
10. AI-POWERED SERVICES
URDigital Tech may provide or use artificial-intelligence and automated technologies, including:
- AI receptionists;
- Conversational assistants;
- AI voice systems;
- Chat systems;
- Automation tools;
- Call-processing systems;
- Related technologies.
These systems may assist with answering calls, chats, gathering lead information, scheduling appointments, routing inquiries, creating summaries, transcribing interactions, updating CRM records, sending notifications, and supporting human personnel.
Where appropriate, customer-facing AI systems may identify themselves as automated or AI-powered systems.
11. AI LIMITATIONS
Artificial-intelligence systems are not infallible. AI systems may:
- Misunderstand requests;
- Produce incorrect information;
- Provide incomplete information;
- Misclassify information;
- Generate unintended responses;
- Experience downtime;
- Depend on third-party services.
Users should independently verify important information before relying upon it.
Unless expressly provided through a separate qualified professional engagement, AI-generated information is not legal advice, tax advice, accounting advice, financial advice, medical advice, emergency instructions, or other licensed professional advice.
URDigital Tech does not guarantee that an AI system will correctly resolve every interaction.
12. TELEPHONE CALLS, RECORDINGS, AND TRANSCRIPTS
Certain calls or voice interactions may be recorded, transcribed, summarized, analyzed, or otherwise processed where permitted by applicable law.
Where notice or consent is required, the appropriate notice or consent process must be used.
Recordings or transcripts may be used for providing services, scheduling, lead routing, quality assurance, training, security, customer support, documentation, or resolving disputes.
Users should not provide highly sensitive information through an AI or recorded communication channel unless specifically instructed to use an approved secure process.
13. TELEPHONE AND SMS COMMUNICATIONS
When you provide your telephone number in connection with an inquiry, appointment, project, service, or account, you authorize URDigital Tech to contact you regarding that matter, subject to applicable law.
Promotional calls, automated calls, prerecorded communications, AI-generated voice calls, or recurring marketing text messages may require additional consent. Where required, URDigital Tech will seek such consent separately.
Where supported, text-message recipients may reply STOP to opt out, or HELP for assistance, or contact solutions@urdigitaltech.com.
Message and data rates may apply. Consent to receive marketing communications is not intended to be a condition of purchasing services where applicable law prohibits such a requirement.
14. CLIENT RESPONSIBILITY FOR OUTBOUND MARKETING
Clients using URDigital Tech systems or services for telemarketing, telesales, lead follow-up, SMS marketing, automated calling, AI voice calls, email marketing, advertising, or outbound prospecting are responsible for ensuring that their campaigns, contact data, instructions, audiences, and communications comply with applicable law.
Clients are responsible for maintaining applicable consent records, opt-out records, Do-Not-Call procedures, suppression lists, customer permissions, and internal compliance procedures.
URDigital Tech may refuse, pause, limit, or terminate a campaign or use of its systems that it reasonably believes creates material legal, regulatory, security, fraud, platform, or reputational risk.
15. EMAIL COMMUNICATIONS
URDigital Tech may send transactional, administrative, or service-related emails concerning inquiries, appointments, proposals, projects, accounts, billing, security, and support.
Where URDigital Tech sends promotional commercial emails, recipients may use the applicable unsubscribe mechanism to opt out of future promotional messages.
Unsubscribing from promotional communications does not prevent URDigital Tech from sending necessary transactional, administrative, legal, security, or service-related communications.
16. USER INFORMATION
You agree that information submitted through our website or services will be accurate to the best of your knowledge.
You represent that you have lawful authority to provide information submitted on behalf of another individual, business, or organization.
You may not knowingly submit fraudulent information, stolen information, malicious code, unlawful content, information obtained unlawfully, or confidential information belonging to another party without authorization.
17. SENSITIVE INFORMATION
Unless a specific secure process has been provided, do not submit through ordinary website forms, chat systems, SMS, or unencrypted email:
- Social Security numbers;
- Passwords;
- Banking passwords;
- Full payment-card numbers;
- Government identification documents;
- Complete tax returns;
- Authentication credentials;
- Other highly sensitive information.
URDigital Tech may provide separate secure transmission procedures where sensitive information is required.
18. ACCEPTABLE USE
You may not use the website or URDigital Tech systems to:
- Violate applicable law;
- Commit fraud;
- Impersonate another person;
- Infringe intellectual-property rights;
- Violate privacy rights;
- Harass or threaten another person;
- Transmit malware;
- Attempt unauthorized access;
- Circumvent security systems;
- Interfere with website operation;
- Abuse forms or scheduling systems;
- Conduct unlawful spam;
- Conduct unlawful robocalling;
- Conduct unlawful text-message campaigns;
- Scrape or automate access in a manner that materially harms or disrupts the service;
- Use URDigital Tech technology for deceptive or unlawful activity.
URDigital Tech may suspend or terminate access in response to suspected misuse.
19. CLIENT CONTENT
Clients may provide materials including text, photographs, video, logos, trademarks, customer data, databases, files, designs, credentials, and other content.
The client represents that it owns or has sufficient rights and permissions to provide those materials and authorize their intended use.
URDigital Tech is not responsible for independently verifying ownership of every client-provided asset.
Clients remain responsible for obtaining applicable copyright permissions, trademark permissions, model releases, music licenses, data permissions, customer consents, and other third-party rights.
20. INTELLECTUAL PROPERTY
Unless otherwise stated, the URDigital Tech website and its original content, including its text, branding, graphics, layouts, logos, software, code, designs, documentation, and proprietary materials, are owned by or licensed to URDigital Tech and protected by applicable intellectual-property laws.
You may access the public website for legitimate informational and business-evaluation purposes.
Except where permitted by applicable law or written authorization, you may not reproduce, redistribute, resell, republish, commercially exploit, reverse engineer, or create unauthorized derivative works from protected URDigital Tech materials.
Ownership of custom client deliverables is governed by the applicable signed client agreement.
21. THIRD-PARTY MATERIALS AND LICENSES
Projects or services may rely on third-party software, plugins, themes, fonts, APIs, stock media, hosting, domains, AI services, CRM systems, telephone services, payment systems, advertising platforms, analytics systems, or other technology.
Those third-party services may be subject to independent terms, fees, licenses, usage restrictions, availability, and privacy practices.
Unless expressly included in a written agreement, URDigital Tech is not responsible for future third-party price increases, policy changes, outages, suspensions, discontinuation, or feature changes.
22. THIRD-PARTY SERVICES AND AVAILABILITY
URDigital Tech may depend upon independent providers to perform portions of its services and does not control independent third-party systems.
Downtime, interruption, account suspension, service degradation, security incidents, or failure caused solely by an independent third-party platform may be outside URDigital Tech's reasonable control.
URDigital Tech will not be deemed to guarantee uninterrupted operation of independent third-party systems unless specifically provided in a written agreement.
23. WEBSITE PRICING
Prices displayed on the public website are informational unless expressly identified as a binding offer.
Website pricing may change. A public website price does not supersede the pricing contained in an accepted proposal, quote, Scope of Work, order form, or service agreement.
Applicable taxes, third-party charges, advertising spend, usage charges, overage fees, licensing costs, travel expenses, or similar expenses may be additional where identified in the applicable written agreement.
24. SUBSCRIPTIONS AND RECURRING SERVICES
Certain services may involve setup fees, monthly subscriptions, recurring service fees, usage-based fees, overage fees, and third-party platform fees.
Before activation of a recurring paid service, the applicable order form, agreement, checkout process, invoice, or other authorization should identify the applicable price and billing structure.
Cancellation, renewal, refund, and termination provisions for paid recurring services are governed by the applicable client agreement, order form, or subscription terms.
25. PAYMENT
Payment terms for paid services are established by the applicable agreement, proposal, invoice, Scope of Work, or order form.
URDigital Tech may condition project commencement, scheduling, procurement, delivery, milestone progression, or continued service upon receipt of required payments.
Where a required milestone payment has not been received, URDigital Tech may pause work or withhold further performance as permitted under the applicable agreement.
Failure to make required payments may result in suspension or termination of services.
26. PROJECT SCHEDULES
Project schedules may depend upon client approvals, content delivery, access credentials, timely communication, payments, third-party vendors, technical dependencies, requested revisions, scope changes, Change Orders, and events outside reasonable control.
Unless expressly guaranteed in a signed agreement, project dates and schedules are good-faith estimates rather than absolute guarantees.
Delays caused by the client, third parties, scope changes, missing information, or circumstances outside URDigital Tech's reasonable control may extend completion dates.
27. CLIENT APPROVALS
Where a project requires client approval, URDigital Tech may rely upon approvals provided through signed documents, email, approved project-management systems, electronic-signature systems, or other agreed written channels.
Once a deliverable, design, scope, milestone, or other item has been approved, later changes may constitute additional work and may require a Change Order.
28. NO GUARANTEE OF BUSINESS RESULTS
Marketing, advertising, website development, SEO, social media, consulting, automation, AI, sales-support, and business-development services depend on numerous variables outside URDigital Tech's control.
Unless expressly guaranteed in a signed agreement, URDigital Tech does not guarantee search-engine rankings, website traffic, lead volume, cost per lead, conversion rates, sales, revenue, profit, return on advertising spend, social-media growth, customer acquisition, business valuation, or financial outcomes.
Testimonials, case studies, examples, forecasts, projections, and past results do not guarantee future performance.
29. TESTIMONIALS AND CASE STUDIES
Testimonials and case studies reflect the experiences described in connection with the applicable customer, service, or project.
Individual results vary. The inclusion of a testimonial, result, example, or case study does not mean that every customer will obtain the same or similar result.
30. WEBSITE INFORMATION
URDigital Tech attempts to maintain useful and reasonably accurate website information.
However, website information may occasionally contain errors, omissions, outdated information, typographical mistakes, or technical inaccuracies.
URDigital Tech may correct or update website information without prior notice. General website content should not be relied upon as the sole basis for high-consequence legal, tax, accounting, financial, medical, or similar decisions.
31. WEBSITE AVAILABILITY
URDigital Tech does not guarantee uninterrupted access to the public website.
The website or particular features may become unavailable due to maintenance, hosting failures, network failures, security incidents, software updates, third-party outages, Internet outages, or other circumstances outside reasonable control.
32. PRIVACY
Use of the website is also subject to the URDigital Tech Privacy Policy.

33. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PUBLIC WEBSITE AND GENERAL ONLINE CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
URDIGITAL TECH DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, CONCERNING THE PUBLIC WEBSITE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.
NOTHING IN THESE TERMS EXCLUDES A WARRANTY, RIGHT, OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED.
WARRANTIES, IF ANY, RELATING TO PAID CLIENT SERVICES ARE GOVERNED BY THE APPLICABLE SIGNED SERVICE AGREEMENT.
34. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, URDIGITAL TECH, LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING SOLELY FROM USE OF OR INABILITY TO USE THE PUBLIC WEBSITE.
THIS MAY INCLUDE, TO THE EXTENT PERMITTED BY LAW: LOST PROFITS, LOST BUSINESS OPPORTUNITIES, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION.
LIABILITY RELATING TO A PAID CLIENT ENGAGEMENT IS GOVERNED BY THE APPLICABLE SIGNED AGREEMENT.
NOTHING IN THESE TERMS LIMITS LIABILITY WHERE SUCH LIMITATION IS PROHIBITED BY APPLICABLE LAW.
35. INDEMNIFICATION
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless URDigital Tech, LLC and its members, officers, employees, contractors, and agents from third-party claims, damages, liabilities, costs, or reasonable expenses arising from:
- Your unlawful misuse of the website;
- Your violation of these Terms;
- Content you unlawfully submit;
- Your infringement of another party's rights;
- Your unlawful use of URDigital Tech systems for communications, marketing, fraud, or other prohibited activity.
This obligation does not apply to the extent a claim results from conduct for which indemnification cannot lawfully be required.
Client-specific indemnification obligations, if any, are governed by the applicable signed agreement.
36. SUSPENSION OR TERMINATION
URDigital Tech may suspend, restrict, or terminate access to public or client-facing systems where reasonably necessary because of nonpayment, security concerns, fraud, illegal activity, material breach, abuse, threats to systems or users, regulatory risk, or repeated policy violations.
Termination of a paid client engagement is additionally governed by the applicable signed agreement.
37. GOVERNING LAW
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where applicable law requires otherwise.
38. VENUE
Subject to mandatory legal requirements to the contrary, litigation arising exclusively from use of the public URDigital Tech website or these website Terms shall be brought in a court of competent jurisdiction located in or serving Niagara County, New York.
Any dispute-resolution or venue provision contained in an applicable signed client agreement will control disputes concerning that paid engagement.
39. NO WAIVER
Failure by URDigital Tech to enforce a provision of these Terms does not constitute a permanent waiver of that provision or any other right.
40. SEVERABILITY
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will continue in effect to the maximum extent permitted by law.
Where appropriate, an invalid or unenforceable provision may be interpreted or limited to the minimum extent necessary to make it enforceable.
41. ASSIGNMENT
You may not assign rights or obligations under these Terms in a manner that materially affects URDigital Tech without appropriate authorization.
URDigital Tech may transfer its rights or obligations in connection with a merger, acquisition, reorganization, sale of business assets, or similar business transaction, subject to applicable law.
42. FORCE MAJEURE
URDigital Tech will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, war, terrorism, civil disturbance, government action, labor disruption, Internet outages, utility outages, cyberattacks, widespread platform failures, third-party infrastructure failures, or comparable events outside reasonable control.
This provision does not excuse payment obligations already due for services properly performed.
43. CHANGES TO THESE TERMS
URDigital Tech may update these Terms as its website changes, services change, technology changes, business practices change, or legal obligations change.
The Last Updated date at the top identifies the current version.
Changes to these website Terms do not silently modify contrary provisions of an existing signed client agreement.
Where applicable law requires additional notice or consent for a material change, URDigital Tech will provide such notice or obtain such consent as required.
44. ENTIRE AGREEMENT FOR WEBSITE USE
These Terms and the URDigital Tech Privacy Policy constitute the agreement between you and URDigital Tech concerning general use of the public website.
They do not replace signed agreements governing paid client engagements.
